Terms of Service

These Terms govern your use of threadctx (“threadctx,” “we,” “us”), including the open-source threadctx-mcp package and the hosted Team service at threadctx.dev. By using either, you agree to these Terms. If you're agreeing on behalf of a team or company, you represent that you have authority to do so.

The service

threadctx gives AI coding agents a shared memory layer over the Model Context Protocol. The local package runs entirely on your machine and is free and open source under the MIT license — those license terms govern your use of the code itself. The hosted Team service adds shared, team-wide memory with semantic search, and is provided under these Terms.

Your API key

The hosted service authenticates with a team API key rather than user accounts. You are responsible for keeping your key confidential and for all activity that occurs under it. Share it only with people you intend to give access to your team's memory. If you believe your key is compromised, contact us to rotate it.

Acceptable use

You agree not to:

  • use the service for anything unlawful, or to store content you have no right to store;
  • deliberately store other people's secrets, credentials, or personal data where it doesn't belong;
  • attempt to break, overload, reverse-engineer, or gain unauthorized access to the hosted service or other tenants' data;
  • resell or sublicense the hosted service without our agreement.

Paid plans include generous fair-use query limits; sustained, abusive, or automated-abuse traffic that threatens service stability may be rate-limited or suspended.

Billing

  • The Team plan is billed per seat, on a monthly ($11/seat/month) or annual ($108/seat/year) basis, with a 14-day free trial. Payments are processed by Stripe.
  • Subscriptions renew automatically until cancelled. You can change seats, update payment details, view invoices, or cancel at any time from the Stripe customer portal.
  • Cancelling stops future renewals; your plan remains active through the end of the current paid period, after which recall stops. Fees already paid are non-refundable except where required by law.
  • Prices may change; we'll give reasonable notice before a change affects your renewal. You are responsible for any applicable taxes.

Your content

You own the memory content you and your agents store. You grant us only the limited rights needed to operate the service — to store, process, embed for search, and return that content to your authorized agents and team members. We don't use your content to train models, and we don't sell it. See our Privacy Policy for details.

Disclaimers

The service is provided “as is,” without warranties of any kind. threadctx stores and retrieves notes your agents write; it does not guarantee that any stored memory is accurate, complete, or suitable for a given purpose, and AI-generated content can be wrong. You are responsible for reviewing anything an agent acts on.

Limitation of liability

To the maximum extent permitted by law, threadctx will not be liable for any indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the service is limited to the amount you paid us for it in the twelve months before the claim.

Termination

You may stop using the service at any time. We may suspend or terminate access for material breach of these Terms (for example, abuse or unlawful use). On termination we'll make a reasonable effort to let you export or delete your data.

Changes to these Terms

We may update these Terms as the product evolves. Material changes will be posted here with a new “last updated” date; continued use after a change means you accept it.
